Effective date: 30 September 2026
1. Provider and agreement
These Terms govern business use of the miCloud / MagicInfo Cloud Center website, customer cabinet and managed digital-signage services available through micloud.center (the Service).
The Service is provided by VIDOS, Semeniouk, a Swiss sole proprietorship operated by Anatoli Semeniouk, Chemin des Persières 11, 1268 Begnins, Switzerland, registered in the Canton of Vaud under CH-550.1.145.988-9, Swiss UID CHE-406.230.144, VAT number CHE-406.230.144 TVA (VIDOS, we, us).
The business or organisation identified during registration or in an order is the Customer. The person accepting these Terms confirms authority to bind the Customer. The Service is offered for business use and is not intended for consumers.
2. The Service
Depending on the selected plan and order, miCloud provides hosted Samsung MagicINFO environments, digital-signage licence administration, display connection and remote management, content management, billing tools, software updates and support. Features, storage, device limits and support levels depend on the plan shown at purchase. Any service-level agreement must be agreed separately in writing.
3. Accounts and Google sign-in
The Customer must provide accurate information, keep it current, restrict accounts to authorised users and protect login credentials. Google sign-in is optional. A user selecting it authorises Google to provide the basic account information described in our Privacy Policy. Revoking Google access may prevent that sign-in method but does not terminate the miCloud account or subscription.
4. Trials, plans and licences
Unless an order states otherwise, the free trial lasts 30 days, is limited to one trial per Customer and requires no payment card. Subscriptions apply to the display count and period in the order. A licence may remain inactive until payment and approval are complete. Renewals or extensions must be purchased before expiry. Samsung software licences are limited to the authorised environment, devices and term and may not be transferred or resold without a written partner agreement.
5. Fees, taxes and payment
The Customer must pay the price, currency and taxes in the accepted order or invoice. Payments may be made through PayPal, credit card through PayPal, SEPA transfer or international bank transfer when offered. Activated licences and completed service periods are non-refundable except where the order, these Terms or mandatory law provides otherwise. Price changes apply only to future purchases or renewal periods after reasonable notice.
6. Customer responsibilities
The Customer must use the Service lawfully; obtain rights for uploaded content and connected displays; provide required privacy notices and legal bases; secure its users, displays, networks and integrations; maintain source copies of important content; and follow reasonable technical instructions.
The Customer must not upload unlawful, infringing, malicious or harmful material; attempt unauthorised access or testing; interfere with the Service; bypass limits; or use it for safety-critical operation without a separate written agreement.
7. Customer content and data protection
The Customer retains rights in its content and grants us and our providers a limited licence to host, copy, process, transmit, technically adapt and display it only to provide, secure and support the Service. Our Privacy Policy explains personal-data processing. A data processing agreement will apply where required when VIDOS processes personal data on the Customer's behalf.
8. Samsung and third-party services
miCloud is operated independently by VIDOS. Samsung, MagicINFO and related marks belong to their respective owners. Unless expressly stated in writing, miCloud is not sponsored, operated or endorsed by Samsung Electronics. The Service may depend on Samsung software, Google sign-in, PayPal, email, hosting and other third-party services and their separate terms.
9. Availability and support
We use reasonable care to operate the Service reliably, but uninterrupted or error-free operation is not guaranteed. Maintenance, internet failures, customer networks, firmware and third-party services may affect availability. Support is available through the cabinet and support@micloud.center. Response or uptime commitments apply only when stated in an order or separate service-level agreement.
10. Suspension
We may suspend affected access where reasonably necessary because of overdue payment, unlawful or abusive use, material breach, security risk or a binding legal requirement. Where practicable, we will give notice and an opportunity to remedy the issue and restore access after the cause is resolved.
11. Termination and data
The Customer may request account closure through support. Ending access does not cancel unpaid amounts or an activated fixed term unless the order states otherwise. Either party may terminate for a material breach not remedied within 30 days after written notice, or immediately where continued service would be unlawful or unsafe.
After termination, we may disable the hosted environment and delete Customer content after a reasonable retrieval period communicated to the Customer. The Customer should request an export before termination. Billing, security and dispute records may be retained as required by law.
12. Intellectual property
The Service software, site, documentation and branding remain ours or our licensors'. During an active subscription, the Customer receives a limited, non-exclusive, non-transferable right to use the Service for its internal business purposes within the purchased plan.
13. Warranties
We provide the Service with reasonable care and skill. Except for express commitments and mandatory law, it is provided “as available.” We do not warrant compatibility with every display model, firmware, network or third-party integration.
14. Liability
Nothing excludes liability that cannot lawfully be excluded, including fraud, wilful misconduct or gross negligence. To the extent permitted by law, neither party is liable for indirect or consequential loss or lost profit, revenue, business opportunity or goodwill. Our total aggregate liability is limited to fees paid or payable for the affected Service during the 12 months before the event giving rise to the claim.
15. Changes
We may update these Terms for legal, security or Service changes. We will give reasonable notice of a material change. It will normally take effect at renewal unless earlier application is legally required or necessary for urgent security.
16. Governing law and disputes
These Terms are governed by Swiss law. The ordinary courts at VIDOS's registered seat in the Canton of Vaud have exclusive jurisdiction, subject to mandatory law. The parties will first try in good faith to resolve disputes through their designated contacts.
17. General
These Terms, the accepted order and incorporated documents form the agreement. An order prevails only for provisions it expressly changes. Invalidity of one provision does not affect the rest. Delay is not a waiver. Assignment requires the other party's reasonable consent except with a merger, reorganisation or sale of substantially all relevant assets.
